You must be legally capable of entering into contracts to use Nexra. If you use Nexra on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms of Service ("Terms") govern your access to and use of Nexra services, including our AI Workflow Automation platform, websites, and related offerings. By using Nexra, you agree to these Terms.
You must be legally capable of entering into contracts to use Nexra. If you use Nexra on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Nexra provides cloud software for AI workflow orchestration, internal process automation, agent execution, and operational intelligence. We may update features from time to time to improve security, reliability, and product capabilities.
Nexra is offered under subscription plans with a defined service term. Your access level, workspace limits, and feature set depend on the plan selected in your Order Form or service agreement.
Unless otherwise stated in your Order Form, subscriptions renew automatically for successive terms. You may change or cancel renewal according to the notice period in your Order Form.
If a subscription term ends without renewal, access to non-public service features may be reduced or suspended.

Nexra may suspend access when necessary to address security risks, legal obligations, or material violations of these Terms.
Nexra and its licensors own all rights, title, and interest in the service, including software, interfaces, documentation, trademarks, and related technology.
You retain ownership of your data, workflows, and materials submitted to the platform. You grant Nexra a limited license to process that data only as required to provide and support the service.
If you provide product feedback, Nexra may use it without restriction to improve the service.
Each party may receive confidential information from the other. The receiving party will protect confidential information with reasonable care and use it only for purposes of performing under these Terms.
Nexra provides the service in a professional manner consistent with industry practices. Except as expressly stated in these Terms or a signed agreement, the service is provided on an "as available" basis.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of use, data, goodwill, or business interruption.
Nexra's total aggregate liability arising out of or related to these Terms will not exceed the liability cap defined in the applicable Order Form.
You agree to defend and indemnify Nexra from third-party claims arising from your unlawful use of the service, your data, or your violation of these Terms, except to the extent caused by Nexra.
Either party may terminate for material breach if the breach is not cured within the period defined in the applicable agreement. Upon termination, your right to use the service ends, subject to any post-termination data export period in your Order Form.
These Terms are governed by the law specified in your Order Form or master agreement. If no governing law is specified, apply: [Governing Law Placeholder].
Disputes will be resolved in the forum defined in your agreement, or if not specified, apply: [Dispute Resolution Venue Placeholder].
We may update these Terms to reflect legal, technical, or operational changes. Material updates will be communicated through reasonable notice channels.
